In a strategic move to focus on expanding its market-leading Floating Liquefied Natural Gas (FLNG) position, Golar LNG Limited has entered into a share purchase agreement for the sale of all its shares in Avenir LNG Limited to Stolt-Nielsen Gas Ltd. The total consideration for the transaction amounts to approximately USD 40 million. The deal, expected to be finalized by the first quarter of 2025, is subject to the fulfillment of the conditions under the share purchase agreement.

Golar will continue to maintain a 25% stake and remain a debt provider to Higas Srl, which operates the HIGAS LNG storage terminal in Sardinia. This terminal was spun off from Avenir LNG in October 2024, and as of the end of that month, HIGAS had a book value of USD 40.5 million on a 100% basis, which includes $24.7 million in shareholder loans and $15.8 million in shareholder equity.

Golar’s CEO, Karl-Fredrik Staubo, commented on the sale, stating, “This decision aligns with our strategy to further develop our FLNG portfolio. Avenir LNG has grown into one of the world’s largest small-scale LNG shipping companies, and we are proud to have played a key role in its foundation alongside our partners, Stolt-Nielsen and Höegh. With the sale of Hygo Energy Transition Ltd. in 2021, Avenir LNG was no longer deemed a core asset for Golar. We wish the Avenir LNG team and Stolt-Nielsen continued success as they move forward with the company.”

Following Golar’s sale, Stolt-Nielsen Gas Ltd. is set to control a majority 94.37% share in Avenir LNG, with the completion of the deal slated for the first quarter of 2025.
